Large-Scale Development

Lead development counsel for the continued buildout of The Yards, a 42-acre riverfront neighborhood in Washington, DC, a multi-phase mixed-use project anticipated to include more than 5.5 million square feet at full buildout, encompassing residential, office, retail and public spaces.

Negotiated a multi-phase master development agreement, ground lease and infrastructure reimbursement agreements for a 50-acre master-planned city center with an economic development authority in suburban Miami, coordinating across development, infrastructure and public approvals workstreams.

Public-Private Transactions

Led negotiations and closing for a $200 million mixed-use, mixed-income public-private partnership development in Silver Spring, including 267 apartments, retail space and an approximately 120,000-square-foot public recreation and aquatic center, involving land and vertical condominium structures, master leases and subleases, multiple development agreements and construction contracts.

Public-Private Transactions

Navigated federal property disposition requirements involving GSA and EPA in connection with a large mixed-use development project, together with District of Columbia requirements relating to affordable housing, contracting, PILOT arrangements, public improvements and related development obligations.

Acquisitions & Financing

Led acquisition and financing closings for two mixed-income commercial apartment projects comprising 379 and 478 units respectively, each with ground-floor retail components and private street parcels, including negotiation of debt and equity structures and coordination across multiple closings.

Represented a major institutional investor in the formation and operation of three programmatic joint ventures, each with an aggregate capital commitment of at least $150 million, established to acquire and develop portfolios of commercial properties, together with underlying property-level acquisitions, dispositions, financing and property management matters.

Affordable Housing

Structured, negotiated and closed a $12 million mezzanine loan from a private equity foundation into a large apartment complex, and negotiated adjustments to depreciation schedules to mitigate several million dollars in potential exit tax liability on a separate affordable housing transaction.

Negotiated architectural, engineering, construction, predevelopment and consultant agreements for large-scale mixed-use development projects, advising on risk allocation, insurance, scope, approvals, defaults and remedies across multiple project delivery structures.

Negotiated ground lease and development agreement for an 83,500-square-foot office building with ground-floor retail, including coordination with lender counsel and title on development-phase financing and construction matters.

Operational Matters

Advised on easements, reciprocal easement agreements, title matters, property management agreements and operational documents across multiple phases of a large-scale mixed-use development, including coordination with title insurers, surveyors and specialty counsel on complex title and encumbrance issues.
